1. Agreement and eligibility

These Terms of Service (Terms) govern access to the Mismaiti website and platform services supplied by PT Mismaiti Global Inovasi (Mismaiti, we, us). They apply to individuals and organizations using Mismaiti to establish or operate a vertical SaaS business.

By accepting these Terms when registering, ordering, or using a Service subject to them, you enter into an agreement with us. You must be at least 18 years old, have legal capacity, and have authority to bind any organization you represent. Browsing the public website does not purchase a subscription or commit you to a pilot.

If you do not agree, do not register for or order the Service. Mandatory rights under applicable law remain unaffected.

2. Roles and separate agreements

  • Vertical Operator: our customer who establishes and operates a branded SaaS offering for a particular domain.
  • Vertical: the operator’s software business and the product outputs and services agreed for it.
  • Tenant Customer: an organization subscribing to an operator’s offering.
  • End User: a person using a tenant’s product experience.
  • Ecosystem Model: the structured representation of domain actors, workflows, rules, permissions, and commercial arrangements used to guide the product.

An operator is responsible for its customer agreements and end-user terms, subject to agreed platform responsibilities and applicable law. These Terms do not automatically replace an operator’s agreements with its customers. MyWarta has separate product terms for its customers.

A mutually accepted operator pilot agreement, order, or other written service agreement defines scope and commercial details. Its specific provisions take precedence over these general Terms where they expressly address the same subject. Mandatory law takes precedence over all agreements.

3. Service scope and current stage

Mismaiti provides vertical SaaS infrastructure that helps operators translate domain expertise into a branded, multi-tenant software business. Agreed outputs may include customer-facing web, operational administration, mobile applications where needed, backend services, infrastructure, payments, and domain-aware AI.

Mobile is one possible output. The domain and agreed scope determine the product. Mismaiti is not an unrestricted custom-development service, and roadmap descriptions do not create delivery commitments.

MyWarta is our first production vertical. External operator onboarding is a controlled pilot. Capabilities, milestones, supported markets, dependencies, support arrangements, and any service levels must be specified in the applicable agreement. A public invitation to get started does not guarantee pilot acceptance or immediate self-service generation.

4. Accounts and operator responsibilities

Provide accurate account and business information, keep credentials secure, authorize team access appropriately, and notify us promptly of suspected compromise. You are responsible for activity you authorize and for complying with laws applicable to your offering.

Operators must have appropriate rights to submitted content and domain knowledge, establish lawful customer and end-user relationships, communicate their commercial terms, and manage content and domain operations. Platform approval does not certify regulatory compliance.

We assess vertical fit before accepting a pilot. Unsupported or highly regulated use cases may be declined or require additional written arrangements.

5. Acceptable use and tenant boundaries

Do not use the Service to conduct unlawful activity; distribute unlawful content; infringe intellectual property, privacy, or other rights; commit fraud; introduce malicious software; bypass access controls; or access another operator’s or tenant’s private data.

Do not extract or reverse engineer Mismaiti platform components beyond permissions granted by contract or applicable law. This restriction does not prohibit access, modification, or export of your vertical assets expressly permitted by your agreement. Automated access must use authorized interfaces and respect agreed limits.

Operators and their authorized administrators must respect tenant boundaries. Security incidents, abuse, and disputed access should be reported to hello@mismaiti.ai.

6. Brand content and domain knowledge

You retain your rights in your brand, content, and proprietary domain knowledge. Customer relationships remain with the operator, subject to the customer agreements and applicable law. Submitting material does not transfer ownership of it to Mismaiti.

You grant us the permissions necessary to process, store, reproduce, and use submitted material to deliver, maintain, secure, and support your agreed Service. These permissions are limited to that purpose, applicable retention obligations, and any additional permission you expressly grant.

We do not acquire a right to reuse your proprietary methods or domain knowledge for other operators merely because you submit them. Shared capabilities, reusable domain contributions, and permitted reuse must be classified and agreed. Using proprietary material to train shared models or enrich another operator’s product requires applicable explicit permission.

7. Platform IP and generated vertical assets

Mismaiti retains its rights in the platform engine, shared capabilities, managed services, tools, and pre-existing intellectual property. Third-party and open-source components remain subject to their own licenses.

New operator verticals require dedicated private source repositories or an isolated repository set, and a defined domain data boundary. Tenant data must also remain isolated within the vertical. These requirements do not by themselves grant unrestricted source ownership or independent hosting rights.

The operator agreement must identify generated assets, platform dependencies, repository access, modification permissions, licensing, transfer rights, and any post-termination operation rights. Source ownership, self-hosting, migration assistance, and platform independence are provided only to the extent expressly agreed and technically supported.

8. Data protection and confidentiality

Personal data is processed subject to applicable law and the Privacy Policy. Controller and processor roles depend on the processing activity: platform account administration and processing tenant data on an operator’s instructions may involve different roles.

Before tenant personal data is processed in an operator pilot, the parties must document the relevant responsibilities, authorized instructions, service providers, security measures, retention and deletion arrangements, incident handling, and any cross-border processing in the applicable agreement or data processing addendum.

Each party must protect the other’s non-public business information and use it only for the agreed relationship, except for authorized disclosure, legally required disclosure, or information lawfully public or independently obtained. These Terms do not authorize reuse of private tenant or operator data across businesses.

9. Platform charges and operator customer payments

There are two separate payment flows:

  • Operator to Mismaiti: platform subscription, pilot fees, infrastructure, AI usage, capacity, and other expressly agreed charges.
  • Tenant Customer to Operator: the operator’s own plans, subscriptions, or other customer charges.

Scope, currency, billing cycle, included allowances, usage charges, applicable taxes, renewal, and cancellation arrangements must be disclosed in the accepted order or agreement. Operators control their customer pricing within agreed platform and payment constraints.

Payment integrations do not automatically make Mismaiti the merchant of record or responsible for an operator’s customer liabilities. The applicable arrangement must identify the seller, merchant of record where relevant, settlement and payout recipient, refunds, chargebacks, tax responsibilities, and provider onboarding or verification requirements. Automated payouts, revenue sharing, and unsupported jurisdictions are not included unless expressly agreed.

10. Cancellation and refunds

You may request cancellation through an available account control or by contacting hello@mismaiti.ai. The applicable subscription or pilot agreement determines when cancellation takes effect and what access continues through an already paid period.

For a Mismaiti platform subscription governed solely by these general Terms, the existing seven-day money-back guarantee for an initial purchase applies. Request it within seven days of that purchase. Renewal periods are not refundable under that general policy except where required by law. A separately accepted pilot or service agreement may specify its own cancellation and refund arrangements.

MyWarta customer subscriptions follow their separate product terms, including their own refund policy. An operator must disclose the refund policy for its customers. No contractual exclusion removes a refund or other remedy required by applicable law. Claims involving fraud or misuse are assessed under the applicable agreement and law.

11. Suspension termination and continuity

We may restrict access where reasonably necessary to address a material breach, fraud, security risk, unlawful activity, or unpaid charges. Where practicable, we will explain the reason and provide a reasonable opportunity to resolve it. Immediate action may be necessary to contain a security incident, comply with law, or prevent serious harm.

Suspension should be proportionate to the issue where technically practicable. Closing an account does not automatically transfer a vertical’s licenses, repositories, runtime services, or contracts.

Before a pilot launches, the agreement must specify the cancellation process, export method and formats, export access period, retention and deletion schedule, backup handling, repository access after termination, continuing dependencies, and any migration assistance and fees. Do not rely on an unspecified retention period or assume independent operation after termination. Statutory retention requirements and third-party obligations may affect deletion.

12. Availability changes and AI-assisted actions

Availability, support, backups, and recovery commitments are those expressly agreed. Maintenance, third-party outages, payment-provider requirements, and app-store review can affect delivery and operation. We do not guarantee continuous availability or approval by a third party.

Material changes to a vertical should follow the agreed review and release process. Where applicable, AI-assisted actions operate within defined permissions and tenant boundaries. Destructive, financial, publishing, or other high-impact actions require the agreed approval process unless validly delegated.

Operators must review material business decisions and outputs. AI may produce errors. Domain-specific rules must come from approved knowledge or the model. We do not guarantee revenue, customer acquisition, or business success.

13. Warranties and liability

Except for express commitments in an applicable agreement and rights that cannot lawfully be excluded, the Service is provided on an “as available” basis without additional implied warranties of fitness for a particular purpose, uninterrupted operation, or error-free output.

To the extent permitted by applicable law, neither party is liable under these general Terms for indirect or consequential losses. Mismaiti’s aggregate liability under these Terms is limited to the greater of the amount you paid Mismaiti for the relevant Service during the preceding twelve months or USD 100, unless a specific agreement provides otherwise.

These limitations do not apply to liability that applicable law does not permit to be excluded or limited, and do not override express obligations or remedies in an applicable agreement. Payment obligations and mandatory data-protection responsibilities remain subject to applicable law.

14. Term updates language and disputes

Material updates apply prospectively. We will publish the revised Terms, update the revision date, and notify affected account holders by email at least thirty days before material changes take effect, except where a shorter period is required by law or urgent security circumstances. A separately accepted agreement may establish its own amendment process.

If you disagree, contact us to discuss cancellation before the effective date. Continued use after that date constitutes acceptance only where legally valid and consistent with the applicable agreement. This page’s revision date does not retroactively replace an existing agreement.

These Terms are available in Bahasa Indonesia and English and are intended to have equivalent meaning. Applicable Indonesian-language requirements remain in force; interpretation must follow mandatory law and any language provision in the applicable signed agreement.

These Terms are governed by the laws of the Republic of Indonesia, subject to mandatory protections applicable to you. Contact us first to seek a good-faith resolution. If unresolved within thirty days of written notice, either party may pursue remedies before a competent court, subject to any separately agreed lawful dispute-resolution process.
